Terms for using Zovenda

1. Acceptance of these Terms

By accessing or using Zovenda (“Zovenda”, “we”, “us”, “our”), you agree to these Terms of Service (“Terms”). If you do not agree, you must not use the platform.

Your use of Zovenda is also subject to our Privacy Policy.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use Zovenda. If you use Zovenda on behalf of a company or organization, you represent you have authority to bind that entity.

3. Accounts, authentication & security

• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to provide accurate information and keep it up to date.
• You must notify us promptly if you suspect unauthorized access or misuse of your account.

We may suspend or restrict accounts to protect the platform, users, or to comply with law.

4. Marketplace overview & your responsibilities

Zovenda is a marketplace that helps sellers list ventures/assets and helps buyers discover, evaluate, and engage. Zovenda is not a broker, agent, or legal advisor for either party unless explicitly stated in writing.

4.1 Sellers

• You are responsible for the accuracy and completeness of your listing information and any documents you upload.
• You must have the rights/authority to list and transfer/license the asset you publish.

4.2 Buyers

• You are responsible for your own evaluation, due diligence, and decision-making.
• You must use information received through Zovenda responsibly and in accordance with these Terms.

5. Listings, content & due diligence

Zovenda may provide tools for listing, document upload, messaging, and deal progression. We may review or moderate content for policy compliance, but we do not guarantee that all content is accurate, complete, or verified.

• Do not upload content that is unlawful, misleading, or infringes someone else’s rights.
• Do not share secrets or sensitive information without appropriate protections (e.g., NDAs) where needed.
• You are responsible for complying with applicable laws regarding business transfers, licensing, and disclosures.

6. Messaging & file sharing

Zovenda supports user-to-user messaging and file uploads to support evaluation and due diligence. You agree not to use messaging for spam, harassment, scams, or unlawful activity.

You are responsible for the files you upload and share. We may remove content that violates these Terms.

7. Credits, fees & payments

Zovenda may require payment (for example, purchasing credits) to access certain features. Payment processing may be handled by third-party processors (such as Paystack).

• Credits: Credits are digital units used to access specific actions (e.g., submissions/requests) as described on the platform.
• Pricing changes: Fees and credit rules may change; we’ll update the platform and, where appropriate, provide notice.
• Taxes: You are responsible for any taxes associated with your purchases or transactions unless required otherwise by law.

7.1 Refunds

Refund eligibility (if any) may depend on the circumstances, payment processor rules, fraud checks, and whether credits were used. Contact support@zovenda.com for help.

8. Intellectual Property Protection (IPP) services

Zovenda may offer support services related to intellectual property protection (e.g., helping you begin an IPP request, connecting you to professionals, or providing guidance). Any service details, timelines, and pricing may be communicated separately.

• Submitting an IPP request does not guarantee registration, protection, or a specific outcome.
• You remain responsible for the accuracy of the information you submit and for your business decisions.
• Where third-party providers are involved, their terms may apply.

9. Prohibited use

You agree not to:

• Use Zovenda for unlawful purposes or to violate any applicable laws or regulations.
• Post or transmit false, misleading, defamatory, or fraudulent content.
• Infringe intellectual property rights, privacy rights, or other rights of any person or entity.
• Attempt to gain unauthorized access to accounts, data, or systems.
• Scrape, crawl, or harvest data without permission, or overwhelm the platform with automated traffic.
• Harass, threaten, or abuse other users.

10. Intellectual property

Zovenda and its logos, design, and software are owned by Zovenda or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the platform.

You retain ownership of content you submit. By posting content, you grant Zovenda a license to host, display, and process it to operate the service (including making it available to recipients you choose to share with).

11. Disclaimers

Zovenda is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim warranties of any kind, including merchantability, fitness for a particular purpose, and non-infringement.

Zovenda does not guarantee that listings are accurate, that transactions will complete, or that buyers/sellers will meet their obligations. You are responsible for conducting due diligence and obtaining professional advice where needed.

12. Limitation of liability

To the maximum extent permitted by law, Zovenda will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption.

To the extent liability cannot be excluded, Zovenda’s total liability for claims relating to the service will be limited to the amount paid by you to Zovenda for the service in the period determined by applicable law.

13. Suspension & termination

We may suspend or terminate access to Zovenda (including removing content) if we believe you violated these Terms, created risk for other users, or if required by law.

You may stop using Zovenda at any time. Some provisions (e.g., disclaimers, limitations, and IP) survive termination.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the “Effective” date above. If changes are significant, we may provide additional notice.
